Clinic Terms & Conditions

These Clinic Terms & Conditions (the "Clinic Terms") apply to veterinary clinics, hospitals and other employers in the United States (each a "Clinic", "you") that open a clinic account with VetBridge USA LLC ("VetBridge USA", "we") or use our staffing service. They are in addition to our general Terms & Conditions and our Privacy Policy. If anything in these Clinic Terms conflicts with the general Terms & Conditions, these Clinic Terms apply to your clinic account.
1. Acceptance of these terms
By opening a clinic account, posting a role, or otherwise using our service as a Clinic, you accept these Clinic Terms on behalf of your clinic and confirm that you are authorized to do so. If you do not agree, do not open an account or use the service.
2. Changes to these terms
We may update these Clinic Terms from time to time. The date at the top of this page shows the current version. We will tell you about material changes by email or through your account. Continued use of your clinic account after a change means you accept the updated terms.
3. What VetBridge USA does
VetBridge USA is a veterinary staffing and coordination service. We introduce Clinics to licensed veterinarians trained in Mexico and Canada, verify their credentials, and coordinate the U.S. licensing, TN visa and relocation process. You interview the veterinarians we introduce and you decide whom to hire. A veterinarian you hire becomes your employee, on your payroll and under your direction. We are not the employer of any veterinarian we introduce.
4. Your clinic account
Opening a clinic account is free. You are responsible for everything done through your account, including by staff you give access to, and for keeping your login details secure. Your account is for your clinic only and may not be shared with or used on behalf of another business. Tell us right away if you believe your account has been used without authorization. You may close your account at any time by writing to us.
5. Information you provide
You agree to provide accurate, current and complete information about your clinic, your people and your open roles, and to keep it up to date. You confirm that your clinic is properly licensed to practice veterinary medicine where it operates, that you will comply with the laws that apply to employing a veterinarian, including wage, hour and immigration rules, and that the roles you post are real and described truthfully.
6. Privacy
How we collect and use information about your clinic and your staff is described in our Privacy Policy. Information you receive about veterinarians through our service is covered by Section 7 below.
7. Non-disclosure of candidate information
Profiles, resumes, documents and other information we share about veterinarians, and the fact that we introduced a particular veterinarian to you, are confidential and remain the property of VetBridge USA and the veterinarian concerned. You may use them only to evaluate those veterinarians for roles at your clinic. You may not copy, publish, forward or share them outside your clinic, and you may not use them to contact a veterinarian for any purpose other than the role we introduced them for. This section continues to apply after your account is closed.
8. Non-circumvention: hiring through VetBridge
Veterinarians we introduce to you are hired through VetBridge USA. An introduction happens when we send you a veterinarian's profile or arrange an interview, and by accepting either you agree to this section. For 24 months after an introduction, you agree not to hire, engage or refer that veterinarian other than through us, whether the hire is made by your clinic, an affiliated practice, or someone you referred the veterinarian to, and whether or not the role is the one originally discussed. If you hire a veterinarian we introduced, the hire is governed by a written staffing agreement between your clinic and VetBridge USA. Please tell us promptly if a veterinarian we introduced approaches your clinic directly.
9. Fees
There is no fee to open an account, post a role, review matched veterinarians or interview them. Fees apply only when you hire a veterinarian we introduced, and they are set out in writing in your staffing agreement before you commit to anything.
10. 3-year guarantee
Every placement is covered by our 3-year guarantee. The guarantee and the terms that apply to it are described in your staffing agreement.
11. What we do not guarantee
Visa, licensing and examination outcomes are determined by government agencies, state veterinary boards, consulates and the ICVA, not by VetBridge USA. We coordinate that process, but we do not guarantee that any veterinarian will pass an examination, obtain a license or be granted a visa, or the timing of any government or board decision. We do not guarantee that a veterinarian who fits your role will be available at any given time.
12. We are not a law firm
VetBridge USA is not a law firm and does not provide immigration legal advice. Information on this site and in our communications is general and informational, and does not constitute legal, immigration, tax or professional advice.
13. Acceptable use
You agree not to post roles that do not exist, misrepresent your clinic or the terms of a role, harass or discriminate against veterinarians we introduce, scrape or bulk-download content from the site, attempt to access other users' accounts or data, or use the service in any way that is unlawful or that interferes with its operation.
14. Intellectual property and feedback
The site, its content, our brand and the materials we prepare for you belong to VetBridge USA and may not be reproduced without authorization. If you send us suggestions or feedback, we may use them without obligation to you.
15. Third-party services
Our service relies on third parties we do not control, including government agencies, licensing boards, examination providers, payment processors and video-call tools. We are not responsible for their availability, decisions or content, and links to other websites are provided for convenience only.
16. Disclaimer of warranties
The site and our service are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted or error-free. Nothing in this section limits a commitment we make to you in a signed staffing agreement.
17. Limitation of liability
To the maximum extent permitted by law, VetBridge USA will not be liable for indirect, incidental, special or consequential damages, or for lost revenue or profits, arising from use of the site or the service or from decisions made based on information we provide. Our total liability to your clinic under these Clinic Terms is limited to the amounts your clinic has paid to VetBridge USA in the twelve months before the claim, or one hundred dollars if you have paid nothing. Liability under a signed staffing agreement is governed by that agreement.
18. Indemnity
You agree to indemnify and hold harmless VetBridge USA and its owners, employees and contractors from claims, losses and costs arising from your clinic's breach of these Clinic Terms, your use of candidate information other than as permitted in Section 7, or your employment of or conduct toward any veterinarian we introduced.
19. Relationship of the parties
VetBridge USA and your clinic are independent businesses. Nothing in these Clinic Terms creates a partnership, joint venture, agency or employment relationship between us. The veterinarians we introduce are not our employees or agents, and we do not supervise their clinical work.
20. Suspension and termination
We may suspend or close a clinic account that breaches these Clinic Terms or that has been inactive for an extended period. You may close your account at any time. Sections 7, 8, 14, 17, 18 and 22 continue to apply after an account is closed, and any staffing agreement you have signed continues on its own terms.
21. Notices and communications
We may send notices about your account and these Clinic Terms by email to the address on your account or through the site, and you agree that notices sent that way are received. You consent to receiving emails, calls and text messages from us about your roles and the veterinarians we introduce. You can opt out of marketing messages at any time without affecting service messages.
22. General terms
These Clinic Terms, together with the general Terms & Conditions and the Privacy Policy, are the complete terms for your use of the site and your clinic account. A signed staffing agreement governs any hire and controls where it addresses the same matter. These Clinic Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law rules. If any provision is found unenforceable, the rest remain in effect. Our not enforcing a provision is not a waiver of it. You may not assign your account or these Clinic Terms without our written consent; we may assign them to a successor to our business.
